Terms of Service

1. Acceptance

By registering for or using Concordance AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute the entire agreement between you and Concordance AI regarding your use of the Service and supersede all prior agreements.

2. Description of Service

Concordance AI provides an AI-powered question-answering service that queries multiple third-party AI models and synthesizes their responses. The Service is provided on an "as is" and "as available" basis without any warranties of any kind.

3. Eligibility

You must be at least the age of digital consent in your jurisdiction (minimum 16 years old) to use the Service. By using it, you represent and warrant that you meet this requirement. If you are under 18, you represent that you have obtained parental or guardian consent.

4. User accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We reserve the right to suspend or terminate accounts at our sole discretion, at any time, without notice, without liability, and without reason.

5. Acceptable use

You agree not to use the Service to:

  • Submit illegal, harmful, abusive, harassing, defamatory, or fraudulent content.
  • Violate any applicable laws or regulations.
  • Attempt to bypass usage limits, gain unauthorized access, or reverse-engineer the Service.
  • Use automated scripts, bots, or scrapers to access the Service.
  • Resell or redistribute the Service or its outputs without authorization.
  • Use the Service to make high-stakes decisions in medical, legal, financial, safety-critical, or other professional domains without independent expert verification.

We reserve the right to remove content and terminate accounts that violate these rules at our sole discretion.

6. AI-specific disclaimers

You acknowledge and agree that:

  • AI-generated responses may contain factual inaccuracies, hallucinations, outdated information, biases, or harmful content.
  • AI models have knowledge cutoff dates and may not reflect current events, laws, or scientific consensus.
  • Responses should not be relied upon for medical diagnosis, legal advice, financial decisions, or any other purpose where inaccurate information could cause harm.
  • We do not verify, endorse, or take responsibility for the accuracy or completeness of any AI-generated response.

7. Content and intellectual property

You retain ownership of the queries you submit. By submitting queries, you grant Concordance AI a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, store, process, reproduce, analyze, and distribute your queries and associated AI responses for the purpose of operating, improving, and developing the Service, including for training, research, and commercial purposes in anonymized or aggregated form.

8. Payments and subscriptions

Paid plans are offered on monthly and annual billing cycles and are billed in advance through our third-party payment processor. Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan unless cancelled beforehand. You may cancel at any time; cancellation stops future renewals and your access continues until the end of the period already paid for.

All payments are non-refundable unless required by applicable law. Annual plans are likewise non-refundable for the unused portion of the term once the period has begun, except where mandatory law provides otherwise.

Prices are shown exclusive of VAT, sales tax, or other local taxes, which are added at checkout where applicable based on your location. We reserve the right to change pricing with at least 14 days' notice via email or in-app notification. Continued use after a price change constitutes acceptance of the new pricing.

Promotional and founding pricing. We may from time to time offer discounted, founding-member, or other promotional rates. Where a rate is described as "locked" for a stated period (for example, locked for 3 years), that rate applies for the stated period only for as long as your subscription remains continuously active and is not cancelled or lapsed; a locked rate does not survive cancellation, non-payment, or a change of plan, and we may adjust it to the then-current price after the stated period ends. Promotional rates are limited in number and/or time at our discretion and may be withdrawn at any time for new subscribers.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONCORDANCE AI AND ITS OPERATORS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) TEN US DOLLARS ($10).

11. Indemnification

You agree to indemnify, defend, and hold harmless Concordance AI and its operators, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit.

12. Dispute resolution and governing law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration under the rules of the London Court of International Arbitration (LCIA), conducted in English.

Class action waiver: You waive any right to bring or participate in any class action, collective action, or representative proceeding against Concordance AI. All disputes must be brought in your individual capacity.

13. Service availability and geographic restrictions

The Service depends on third-party infrastructure (cloud hosting, AI model providers, payment processors, anti-abuse systems) that may apply their own geographic, regulatory, or compliance restrictions, including but not limited to United States trade controls and sanctions regimes. As a result:

  • We do not guarantee Service availability in countries or regions subject to United States economic sanctions, export controls, or comprehensive trade restrictions.
  • Access from such regions may be intermittent, degraded, blocked, or terminated at the discretion of upstream providers, without notice and without liability on our part.
  • Network access via VPN, proxy, or similar tools is your sole responsibility and remains subject to applicable laws in your jurisdiction.
  • We may, at any time and without notice, restrict, suspend, or terminate access to the Service from any region in order to comply with applicable laws or upstream provider requirements.

By using the Service you acknowledge these limitations and accept that availability outside the United States, the European Union, the United Kingdom, and similar jurisdictions is provided strictly on a best-effort basis.

14. Modifications

We may modify these Terms at any time. We will notify users of material changes via email or in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance of the updated Terms.

15. General provisions

  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: We may assign our rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.
  • Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, internet outages, third-party service failures, or government actions.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Concordance AI regarding the Service.

16. Third-party AI models and your sole responsibility

The Service is a layer over third-party artificial intelligence models operated by independent providers. You acknowledge and agree:

  • No agency. Third-party AI providers are independent contractors, not our agents, employees, or partners. We do not control their training data, model behavior, system prompts, content policies, or output. Their outputs are not statements, opinions, recommendations, or endorsements by Concordance AI.
  • Information, not advice. All AI-generated content is provided as information only. It is not professional, medical, legal, financial, psychological, safety, engineering, or any other category of advice, regardless of how authoritative, certain, or detailed it appears. The Service must not be used as a substitute for a qualified professional.
  • Sole reliance is at your risk. Any decision you make based on AI output — including but not limited to health, money, relationships, employment, travel, legal, or safety decisions — is made solely by you, on your own judgment, after your own verification with authoritative sources. You bear all consequences of acting on AI output.
  • No fitness for purpose. We make no representation that AI output is fit, suitable, complete, current, accurate, or appropriate for any particular purpose, person, jurisdiction, or context. Outputs may be wrong, fabricated, biased, outdated, or unsafe.
  • Claims against providers go to providers. If you believe an AI output caused you harm, your claim, to the extent permitted by law, is against the third-party model provider responsible for that output, not against Concordance AI. We will not be a party to such disputes.
  • Liability cap applies regardless. The liability cap in §10 applies to all claims arising out of or related to AI output, third-party provider conduct, or any reliance on the Service, regardless of legal theory (contract, tort, statute) and regardless of whether we, the providers, or both are alleged to be at fault.

Nothing in this section excludes liability that cannot be excluded under applicable mandatory law (for example, liability for death or personal injury caused by our own negligence, or for fraud). In jurisdictions where any part of this section is unenforceable, that part is severed and the remainder continues in full effect.
